How will I know if I am accredited?

To invest on the EquityMultiple platform, we request that investors that have funded, or intend to fund, in an offering verify their accreditation status. We are required to prove our investors' accreditation status according to U.S. securities law.

How do we define accreditation?

The federal securities laws define an accredited investor as any of the following: (i) a natural person with income exceeding $200,000 in each of the two most recent years or joint income with a spouse exceeding $300,000 for those years and a reasonable expectation of the same income level in the current year; (ii) a natural person who has individual net worth, or joint net worth with the person’s spouse, that exceeds $1 million at the time of the purchase, excluding the value of the primary residence of such person; (iii) a corporation, partnership or charitable organization with assets exceeding $5 million; (iv) a trust with assets in excess of $5 million, not formed to acquire the securities offered, whose purchase is directed by a sophisticated person; (v) a director, executive officer, or general partner of the company selling the securities; (vi) a business in which all the equity owners are accredited investors (vii) a bank, insurance company, registered investment company, business development company, or small business investment company; (viii) an employee benefit plan, within the meaning of the Employee Retirement Income Security Act, if a bank, insurance company, or registered investment adviser makes the investment decisions, or if the plan has total assets in excess of $5 million; or (ix) a qualified natural person that holds one of the following financial professional license in good standing: Series 7 65, 82. If you as an investor, fall under any of the above categories, you will be eligible to invest in any of the offerings available on the platform.

How does accreditation work on the platform?

Upon sign-up, individual investors may be automatically accredited, without needing to manually certify. EquityMultiple has developed an automatic-accreditation verification engine, in conjunction with Windfall Data, that has a proven track record of confirming the net worth of approximately 85 million households in the United States. When the Windfall engine is able to automatically verify your accreditation, you will see that your status has been marked as Verified on the Settings page of your Investor Portal.

In the case that the auto-accreditation engine is not able to verify your accreditation, your status will display as Pending on your Settings page.

When investors cannot be automatically accredited through the Windfall engine, or an investor would like to certify their accreditation for a Joint, LLC, IRA, Partnership, Corporation, Irrevocable or Revocable Trust account, investors are still able to certify their accreditation by manual verification.

Investors may manually upload a letter issued by a third party whereby either a licensed attorney, a CPA, an SEC-registered investment adviser, or a registered broker-dealer certifies that the investor/entity is accredited. The letter must be dated within the last 90 days. The letter must also reference the name of the individual as it appears on the investor's profile, or the name of the entity or joint account, as applies.
